Venture Company: Definition, Features, Registration Rules in Russia

In our time, almost any business is associated with certain risks. It's no secret that the probability of burning out in our days is greater than ever before. Nevertheless, there are daredevils who create structures, firms that invest money in the development of various new trends. It is about such an organization, whose name is "venture company", and will be discussed in this article.

Definition

First of all, let's deal with the very concept, which, in principle, most recently entered our conversational speech. So, a venture company is a specially created enterprise, the end product of which are various innovations (that is, innovations) related to risk. These innovations can be in a variety of industries: in the organization of production, research, technology, marketing, etc.

Such a company is, in fact, the initial stage of development of the required product, which deals with:

• Selection and development of a technical, scientific idea, its implementation;
• Creation of the required models or samples for their transfer to the industrial production stage.

As a rule, in the overwhelming majority of cases, after the venture project is completed, the company itself also ceases to exist.

Features

Venture business in its current form was formed in the widely known Silicon Valley, located in the United States of America, and from there these activities began to spread across all dynamically developing powers, but with their own national differences. Venture activity is developed in China, India, Brazil and other large countries of the world.

Technologies developed on the basis of a venture allow the state with a developing economy to catch up with the developed countries after a certain period of time in terms of per capita income. For example: New Zealand is a country with the most developed agriculture on the planet, but at the same time it is located at the bottom of the list of developed countries in terms of GDP. At the same time, Singapore has brought its GDP indicator to the level of the leading countries of the world due to the fact that it has a very developed venture market.

Conditions of development

It is important to note that in those countries in which venture activity has become widespread, the following have been used:

• Investment from the state in the company;
• The country's investment in a variety of private venture funds ;
• Mixed investment option.

The venture company will develop successfully only in those cases when:

• There is a long-term innovative state policy and an updated program for co-financing such activities;
• There are significant investments in the dynamic development of the professional qualities of people, which, in fact, are the basis for effective venture work;
• There are venture entrepreneurs and venture managers;
• Developed applied and fundamental sciences, through which they produce new discoveries, innovations and inventions;
• There is a developed, modern educational system;
• There is a competitive environment.

Favorable industries

The best for the activities of any venture company directions are those where the life cycle of the products, goods or services being formed is small. For example, in US microelectronics, this period is on average about four to five years. Back in the 1980s, the total capital that accounted for all venture capital organizations in the United States was almost $ 15 billion.

Registration in Russia

Any Russian venture company should be organized on the basis of the following requirements put forward by Russian law:

• Must be the presence of the founder. They can be both a physical person and a legal entity that is a citizen of Russia or another state. The exception can only be made up by servicemen, employees of the state apparatus.
• The number of shareholders should not exceed 50 people. The authorized capital of the organization is distributed between them.
• A venture company must have an account open at the bank. Moreover, it is allowed to open an account both within the Russian Federation and beyond its borders.
• The minimum amount of the authorized capital must be at least ten thousand Russian rubles.
• The charter of the company, which is the constituent document, should be formed.
• The organization must have a round seal with its full name in Russian and indicating its location.

Staff and office

The Russian venture company, like many other firms, necessarily has staff and an office. Given the specifics of venture organizations, their office belongs to the representative class. Since there is also a board of directors and investors, there is a mandatory place for a conference room.

The staff of such a company is often very small - about 20 people. Of course, it will necessarily include an accountant, lawyer, secretaries, consultants, general partner.

Some subtleties

It is necessary to specify: the venture company (what it is, we discussed above), gives investment only to those persons who provide for consideration a really worthwhile and promising project. In addition, such a company invests its money to develop exclusively advanced technologies in a wide variety of scientific fields.

As a rule, the venture project starts to make profit after about six years from the moment of its start.
